PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN AN ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND OTHER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS. SECTION 16 SETS OUT THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. YOU MAY OPT OUT OF ARBITRATION BY FOLLOWING THE PROCEDURE IN SECTION 16(g).
These Terms of Service (“Terms”) are a binding agreement between you (“you” or “User”) and Bright Cloud Media, LLC, a Michigan limited liability company doing business as Catholic Bros (“Catholic Bros,” “we,” “us,” or “our”), governing your access to and use of www.catholicbros.com and related services we make available online (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy.
If you do not agree to these Terms, do not access or use the Services.
1. Eligibility
You must be at least 18 years of age (or the equivalent age of digital consent in your jurisdiction) to use the Services. By using the Services, you represent and warrant that:
(a) you are at least 18 years old (or the applicable minimum age in your jurisdiction), or you are accessing the Services with the consent and supervision of a parent or legal guardian;
(b) you have the legal capacity to enter into a binding contract; and
(c) your use of the Services will comply with these Terms and all applicable laws.
If you are under the age of majority in your jurisdiction, you may use the Services only with the involvement of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
2. License to Use the Services
Subject to your compliance with these Terms, Catholic Bros grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial spiritual and informational use. All rights not expressly granted are reserved.
3. Free Downloads and Resources
(a) License Grant. Catholic Bros may make free digital resources available on the Services, including eBooks, printables, devotionals, and similar materials (“Free Resources”). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, view, and print Free Resources for your personal, non-commercial spiritual enrichment.
(b) Restrictions. You may not (i) sell, rent, lease, sublicense, or otherwise commercially exploit Free Resources; (ii) modify, adapt, or create derivative works of Free Resources except as expressly permitted; (iii) remove or alter any copyright, trademark, or other proprietary notices; or (iv) redistribute Free Resources, in whole or in part, to any third party.
(c) Revocation. We may revoke this license at any time, in our sole discretion, including upon any breach of these Terms.
4. Spiritual Content Disclaimer
The content on the Services is provided for devotional, inspirational, and educational purposes only. It does not constitute spiritual direction, sacramental guidance, pastoral counseling, professional advice (including legal, financial, medical, or psychological advice), or therapy. Please consult a priest, qualified spiritual advisor, or appropriate licensed professional for personal guidance.
We are not a substitute for the sacraments, the Magisterium, or the official teaching of the Catholic Church. Any opinions expressed on the Services are those of the authors and do not necessarily reflect the official position of the Catholic Church or any diocese, religious order, or other ecclesial authority.
5. Affiliate Links and Disclosures
The Services contain affiliate links, including links to products on Mediavine and Amazon (Catholic Bros is a participant in the Mediavine Programmatic Advertising program and Amazon Services LLC Associates Program) and other Catholic apps, books, and resources. When you click an affiliate link and make a qualifying purchase, we may receive a commission at no additional cost to you. We disclose these affiliate relationships in accordance with the U.S. Federal Trade Commission’s Endorsement Guides (16 C.F.R. Part 255). The presence of an affiliate link does not constitute an endorsement of any specific product beyond the views expressed in the linked content.
6. User Conduct; Prohibited Uses
You agree not to use the Services to:
(a) violate any applicable law or regulation, including export-control, anti-spam, intellectual property, privacy, or anti-discrimination laws;
(b) infringe or misappropriate the intellectual property, privacy, or other rights of any third party;
(c) post, transmit, or link to material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or otherwise objectionable;
(d) impersonate any person or entity or misrepresent your affiliation with any person or entity;
(e) interfere with, disrupt, or attempt to gain unauthorized access to the Services, our servers, or any network or system connected to the Services;
(f) introduce viruses, malware, or other harmful code;
(g) use any robot, spider, scraper, data-mining tool, or similar automated means to access, copy, or collect data from the Services without our prior written consent;
(h) use the Services for any commercial purpose, including resale, advertising, or solicitation, without our prior written consent;
(i) use the Services to train artificial intelligence or machine learning models without our prior written consent; or
(j) attempt to circumvent any technological measure we use to protect the Services.
We reserve the right to investigate and take appropriate action against any User who, in our sole judgment, violates this Section, including suspending or terminating access to the Services and reporting violations to law enforcement.
7. User-Submitted Content
(a) Submissions. If you submit any content to us through the Services, including comments, prayer requests, contact form messages, testimonials, or other materials (“User Content”), you represent and warrant that:
(i) you own or have all necessary rights, licenses, and consents to submit the User Content;
(ii) the User Content does not infringe or violate any third-party rights, including intellectual property, privacy, or publicity rights; and
(iii) the User Content complies with these Terms and applicable law.
(b) License to Catholic Bros. You grant Catholic Bros a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display the User Content, in whole or in part, in any media now known or later developed, in connection with the Services and our business activities. You waive any moral rights you may have in the User Content to the extent permitted by law.
(c) No Obligation to Monitor. We have no obligation to review, monitor, edit, or remove User Content, but we reserve the right to do so at any time, in our sole discretion, without notice.
(d) Reporting. If you believe User Content violates these Terms or your rights, please contact us at dan@catholicbros.com.
8. Intellectual Property
(a) Our IP. Except for User Content and content licensed from third parties, all content on the Services — including text, graphics, logos, images, audio, video, software, and the selection and arrangement thereof — is the property of Bright Cloud Media, LLC or its licensors and is protected by U.S. and international intellectual property laws. “Catholic Bros” and our logos are trademarks of Bright Cloud Media, LLC. Other trademarks shown on the Services belong to their respective owners.
(b) Public Domain Images. We use images that we believe are in the public domain or that we are authorized to use. See our Public Domain Image Use Policy at www.catholicbros.com/public-domain-image-use for additional information.
(c) Reservation of Rights. All rights not expressly granted in these Terms are reserved by Catholic Bros and our licensors.
9. Copyright Infringement (DMCA Notice)
We respect intellectual property rights and respond to notices of alleged copyright infringement that comply with the U.S. Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512. To submit a DMCA notice, please send the following information:
(a) a physical or electronic signature of a person authorized to act on behalf of the copyright owner;
(b) identification of the copyrighted work claimed to have been infringed;
(c) identification of the material claimed to be infringing and information sufficient to allow us to locate it;
(d) your contact information, including address, telephone number, and email;
(e) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
(f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your use of third-party services is at your own risk and is governed by the third party’s terms and privacy notice.

Our collection, use, and disclosure of personal information are described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
12. Accessibility
We are committed to making the Services accessible to individuals with disabilities and strive to follow applicable accessibility guidelines, including the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, where reasonably feasible. THE SERVICES, INCLUDING ALL CONTENT, FREE RESOURCES, AND THIRD-PARTY MATERIALS, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CATHOLIC BROS, BRIGHT CLOUD MEDIA, LLC, AND THEIR RESPECTIVE OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS (COLLECTIVELY, “CATHOLIC BROS PARTIES”) DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, CATHOLIC BROS PARTIES DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, RELIABLE, OR COMPLETE. ANY RELIANCE ON CONTENT FROM THE SERVICES IS AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions in this Section apply only to the fullest extent permitted by law.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE CATHOLIC BROS PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CATHOLIC BROS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL THE CATHOLIC BROS PARTIES’ TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO CATHOLIC BROS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
The limitations in this Section apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; in those jurisdictions, the limitations in this Section apply only to the fullest extent permitted by law.
Note for EU/UK/EEA, Australian, Canadian, and other Consumers: Nothing in these Terms is intended to limit or exclude any liability or rights that cannot be limited or excluded under mandatory consumer-protection law applicable to you. To the extent any provision of these Terms is unenforceable as to you under such law, that provision will be modified or limited only to the minimum extent necessary, and the remainder of these Terms will continue in effect.
15. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Catholic Bros Parties from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your access to or use of the Services;
(b) your User Content;
(c) your breach of these Terms or any representation, warranty, or covenant in these Terms; or
(d) your violation of any applicable law or third-party right.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
16. Governing Law; Dispute Resolution; Arbitration; Class Action Waiver
(a) Governing Law. These Terms and any dispute arising out of or related to these Terms or the Services are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
(b) Informal Resolution. Before initiating any legal action, you and Catholic Bros agree to attempt in good faith to resolve any dispute informally for at least sixty (60) days after written notice. Notice to Catholic Bros must be sent to dan@catholicbros.com with the subject “Notice of Dispute” and must describe the dispute and the relief sought.
(c) Arbitration Agreement. If informal resolution does not resolve the dispute, you and Catholic Bros agree to resolve all disputes arising out of or related to these Terms or the Services through final and binding individual arbitration, except as provided in subsection (e) below.
(d) Arbitration Rules and Procedure. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time the arbitration is commenced. The arbitration will be conducted by a single neutral arbitrator. The seat of arbitration will be Hillsdale County, Michigan, although you may participate remotely. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The arbitrator’s decision will be final and binding, except for the limited right of appeal provided by the Federal Arbitration Act (“FAA”), 9 U.S.C. § 1 et seq.
(e) Exceptions. Either party may bring (i) a claim in small-claims court for any dispute that qualifies under the rules of that court, and (ii) an action for injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop infringement or misappropriation of intellectual property or unauthorized access to the Services. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
(f) Class Action Waiver. YOU AND CATHOLIC BROS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. The arbitrator may not consolidate or join the claims of more than one person and may not preside over any class, collective, or representative proceeding. If a court determines that this class action waiver is unenforceable as to a particular claim, that claim will be severed and litigated in a court of competent jurisdiction; all other claims remain subject to arbitration.
(g) Right to Opt Out of Arbitration. You may opt out of this arbitration agreement and class action waiver by sending written notice to dan@catholicbros.com with the subject “Arbitration Opt-Out” within thirty (30) days after the date you first accept these Terms. The notice must include your name, mailing address, and email address. If you opt out, the arbitration agreement and class action waiver will not apply to you, but the rest of these Terms remain in effect.
(h) Forum for Non-Arbitrable Matters. For any claim that is not subject to arbitration (including claims brought after a permitted opt-out), you and Catholic Bros consent to the exclusive jurisdiction and venue of the federal and state courts located in Hillsdale County, Michigan, and waive any objection to jurisdiction or venue in those courts.
(i) EU/UK/EEA Consumers. If you are a consumer in the EU, UK, or EEA, mandatory consumer-protection law may give you the right to bring claims in the courts of your country of residence and to apply local consumer-protection law. Nothing in this Section limits those rights.
17. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, including for any actual or suspected violation of these Terms. You may stop using the Services at any time. The provisions of these Terms that by their nature should survive termination will survive, including Sections 7(b), 8, 9, 13, 14, 15, 16, 17, 18, and 19 through 25.
18. Changes to These Terms
We may revise these Terms from time to time. The “Last Updated” date at the top reflects the most recent revision. If we make material changes, we will provide additional notice (such as a banner on the Site or an email to subscribers) as required by applicable law. Your continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree to the revised Terms, you must stop using the Services.
19. Force Majeure
Catholic Bros will not be liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, or pandemics.
20. Severability
If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
21. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that or any other provision.
22. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign or transfer these Terms freely, including in connection with a merger, acquisition, or sale of assets.
23. Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and Catholic Bros.
24. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any other terms or policies referenced herein, constitute the entire agreement between you and Catholic Bros regarding the Services and supersede all prior or contemporaneous communications and proposals on the same subject.
